
Alyssa Ladd is an associate in King & Spalding’s Mergers & Acquisitions and Private Equity practices. Alyssa counsels clients in mergers and acquisitions and private equity investments.
Alyssa represents public and private companies in various industries, primarily in the energy sector. Her experience includes drafting and negotiating asset purchase agreements, stock purchase agreements, contribution agreements, disclosure schedules, limited liability company agreements, transition services agreements, supply agreements and confidentiality agreements.
Alyssa has extensive experience advising public companies on periodic SEC reporting, including current reports, quarterly reports, annual reports and proxy statements. She also assists clients in U.S. capital markets transactions, company structuring and formation, reorganizations, corporate governance and compliance matters, public and private offerings of debt and equity securities, follow-on offerings and at-the-market offerings.
Previously, Alyssa was a judicial intern to The Honorable Lee Rosenthal (U.S. District Court, Southern District of Texas), The Honorable Gray Miller (U.S. District Court, Southern District of Texas), and The Honorable Harvey Brown (Texas First Court of Appeals). She served as an articles editor on the Houston Law Review and as Chief Baroness of the Order of the Barons. Alyssa was the recipient of the LEX Award for the Highest Grade in Civil Procedure, the Locke Lord Writing Award for the Best Paper on Banking and Corporate Law, the Norton Rose Fulbright Award for the Most Outstanding Line Editor and a two-time recipient of the Alumni Association Scholarship.
