Andrew Overway is counsel in the Employee Benefits & Executive Compensation Department of Seyfarth Shaw LLP’s Atlanta office. He assists publicly traded and private companies in complying with the complicated tax and ERISA laws affecting employee benefits by providing clients with understandable and practical advice.
He advises plan sponsors and human resource personnel on the design, implementation and administration of employee benefit plans and executive compensation arrangements, including pension and 401(k) plans, employee stock ownership plans (ESOPs), welfare plans, nonqualified deferred compensation plans, severance plans, equity compensation plans and employment and separation agreements.
Mr. Overway has experience assisting clients with IRS, Department of Labor and Pension Benefit Guarantee Corporation audits and required filings including, determination letter applications, tax returns, private letter requests, QSLOB applications, annuals reports, and plan termination filings.
Mr. Overway’s practice involves counseling clients on ESOP transactions and on the employee benefits aspects of corporate transactions. In addition, he has experience helping clients with IRS and Department of Labor correction programs for qualified and nonqualified plans.
Mr. Overway leverages his engineering background to assist clients with data driven solutions to the design and administration of their benefit plans through the analysis of demographic and compensation data to achieve client design specifications and legal compliance. He prepares nondiscrimination testing and operational audits for qualified and nonqualified retirement plans and welfare plans.
