Anne E. Mickey regularly advises foreign and U.S. companies on contract, corporate, conventional, and government guaranteed finance and transactional matters. She assists clients with contract disputes (private and government), and with issues concerning cabotage laws, charters, equipment acquisition, vessel construction (tanker, MODU and containership) and citizenship.
Anne also represents clients before the Maritime Administration, U.S. Coast Guard, U.S. Customs and Border Protection, U.S. Department of Defense and other agencies. Anne has represented foreign and domestic companies engaged in shipping (liner, break bulk, bulk, RoRo, and tanker), offshore drilling, ferry services, fishing, terminal operations, dredging, and marine construction.
Anne has handled closings in conventional and government guaranteed loans for vessels and other equipment. One closing recently involved the acquisition and financing of 38 vessels registered under three different flags. She has also been actively involved in advising clients concerning the Maritime Security Program, capital construction fund and U.S. cargo preference programs.
Anne was involved in litigation involving a California port before the Federal Maritime Commission, the U.S. Court of Appeals for the District of Columbia circuit and the U.S. District Court for Northern California. The litigation involved claims of sovereign immunity as well as issues under the Shipping Act of 1984 and the California tidelands trust.
Anne has obtained favorable rulings from the Maritime Administration, U.S. Coast Guard, and Customs and Border Protection for several clients and has been actively involved in litigation in the U.S. District Court for the Eastern District of Virginia in cases involving a cabotage issue.
She also assists vessel owners in registering and mortgaging vessels in the Marshall Islands, Liberia, Vanuatu, Bahamas and other foreign registries. Anne co-authored a chapter on bid protest litigation published by Aspatore Books as part of its “Inside the Mind” series.
Anne earned her undergraduate degree from Smith College in 1973 and her law degree from George Washington University Law School in 1976. She is ranked by Chambers & Partners USA in nationwide shipping regulatory and shipping finance.
EXPERIENCE :
- Represented a marine terminal operator in an action against the Port of Oakland in the U.S. Court of Appeals for the District of Columbia Circuit, whose decision against the immunity of the Port of Oakland permits marine terminal operators to pursue civil complaints at the Federal Maritime Commission.
- Acted as special maritime counsel to one of the world’s largest contractors of jack-up rigs on matters of Vanuatu, Liberian, and Marshall Islands law in connection with an increase in a credit facility. The credit facility is secured by first preferred ship mortgages on 34 non-self-propelled mobile offshore drilling units.
- Acted as special U.S. maritime counsel to a private equity firm in connection with its investment through an affiliate in one of the largest U.S.-based seafood harvesters and owner of U.S. flag fishing vessels.
- Represented private firm in conducting due diligence for possible acquisition of major seafood company based in Washington and Alaska. Acted as special maritime counsel advising on regulatory issues arising from citizenship and cabotage requirements under the American Fisheries Act.
- Acted as lead counsel in the sale of a U.S. flag tanker eligible for trading in the U.S. coastwise trades. Negotiated and drafted purchase agreement and advised seller on regulatory issues.
- Acted as special maritime counsel in restructuring of US Government guaranteed debt of over $230 million.
