Bonnie A. Barsamian is a seasoned, trusted legal and business advisor with nearly 30 years of experience advising public and private companies, boards of directors, C-suites and financial institutions in complex securities/capital markets, mergers and acquisitions and other corporate transactional, advisory and regulatory matters.
Bonnie represents issuers, underwriters, financial sponsors and shareholders in the full range of public and private securities offerings and other corporate finance transactions, including IPOs, follow-on and secondary offerings, and other offerings of equity and debt.
She also advises public and private companies, special committees and financial advisors in the full range of U.S. and cross-border M&A transactions, including acquisition/divestiture, recapitalization and change of control transactions.
A veteran advisor on federal securities laws, Bonnie counsels clients on SEC reporting matters, rule-making initiatives, best practices and compliance issues.
She also counsels clients in corporate governance matters, advising public companies and their boards of directors on a range of routine and extraordinary corporate governance matters, including internal investigations, risk oversight and disclosure matters.
Bonnie has extensive experience handling matters across a broad range of sectors, including financial services and institutions, specialty finance, REITs, media and entertainment, hospitality and industrial/consumer products.
Her leadership and consensus-building experience includes establishing and leading successful global securities practice groups, chairing firm committees, leading and managing deal teams across geographies, and serving on nonprofit boards of directors.
Bonnie chairs our Capital Markets and Securities Team. Bonnie is also a member of Law360’s 2018 Capital Markets Editorial Advisory Board, and a member of the New York City Top 100 Women in M&A. In June 2016, Bonnie was nominated by President Obama to serve on the Board of the Securities Investor Protection Corporation (SIPC).
