Carl E. Rothenberger’s practice involves a variety of securities law and corporate finance matters ranging from public and private offerings and other complex corporate transactions to SEC compliance and general corporate matters.
Carl draws on his legal experience to structure, manage and complete the diverse corporate transactions required to meet the challenges of today’s multi-dimensional business world. In the past few years, these transactions have included initial public offerings and other registered debt and equity offerings, senior and subordinated debt financings, private placements, joint ventures, and various mergers and leveraged acquisitions.
As an integral part of his corporate finance practice, Carl counsels companies, directors, officers and shareholders on the pervasive regulatory framework of the SEC, stock exchanges and NASD, as well as on matters of disclosure, investor relations, governance and general corporate law.
