Carl Loeffler represents primarily startup and growth companies at all stages of development, from initial formation to exit strategy. For 15 years Carl has been helping Silicon Valley entrepreneurs create ventures that can attract investment and grow into successful businesses.
An active member of the firm’s fintech and blockchain group, Carl is especially focused on helping startup clients build blockchain-based businesses and token ecosystems in an evolving regulatory landscape.
He guides startup companies as they navigate initial organizational issues, private financings, strategic transactions, public offerings, and mergers and acquisitions. When serving a company’s legal needs, the goal of Carl’s practice is to provide the same timely advice and rapid completion of projects as the company would receive from a dedicated in-house general counsel, at a cost that is usually considerably less than hiring an in-house attorney or engaging a traditional law firm. Carl advises clients in corporate, securities, licensing, IP protection, employee, and contract matters.
He has negotiated many angel and venture capital investments (both as investor and company counsel), convertible note offerings, and other private equity and debt financings. When his clients have opted for a liquidity event, Carl has led their acquisitions or managed their IPOs.
