Dale S. Webber maintains a substantial corporate and regulatory practice with a particular emphasis on the representation of clients in the healthcare industry. He regularly counsels clients on a broad spectrum of legal matters ranging from complex business transactions, financings and reorganizations, to all types of contracting and daily operational matters.
Dale is Co-Office Head for Buchanan’s Tampa office, a member of the firm’s Board of Directors and chair of the firm’s Healthcare section. He has also served as chair of the firm’s Compensation Committee.
Among the healthcare organizations that Dale regularly represents are national health systems, hospitals, ambulatory care providers, nursing facilities, assisted living facilities, continuing care retirement communities, hospices, home healthcare providers and managed care organizations. He advises clients on a wide variety of legal matters including complex business transactions, Medicare and Medicaid reimbursement and fraud and abuse prevention, regulatory compliance and licensure, joint ventures and partnerships, physician contracting, managed care contracting and corporate restructuring.
In his transactional practice, Dale has served as lead counsel in transactions exceeding several billion dollars in aggregate value. He has negotiated, structured and completed acquisitions, divestitures, mergers, joint operating agreements and financings involving significant health systems, health facilities and other business interests. Dale is experienced in handling the legal implications of these transactions, including business structures and liability protection, regulatory and governmental approvals, antitrust clearance, and bond and other debt financing.
Another aspect of Dale’s practice involves representing clients in resolving corporate governance disputes whether through litigation or alternative dispute resolution. He has worked closely with members of the firm’s litigation section to resolve governance disputes in a number of “bet the company” litigation matters.
