David assists technology providers with the financing, selection, acquisition, disposition and use of technology. He works closely with the firm’s Intellectual Property, Biotech and Health Care Sections on industry-specific funding, licensing, acquisition and sale transactions and with the Energy Section on complex upstream mineral asset transactions.
David has drafted and negotiated exclusive and non-exclusive technology licenses; maintenance and support agreements; cloud computing agreements, equipment leases; service level agreements; formation documents; employment terms and conditions; IP assignment/contribution agreements for startup/emerging companies; value added reseller and distribution agreements; consulting services agreements; source code escrow agreements; manufacturing and supply agreements; non-disclosure agreements; letters of intent; business development and co-marketing agreements; and domestic and international technology distribution and development agreements.
By working collaboratively with the firm’s nationally recognized IP and Biotech lawyers, David has also helped wearable/mobile and advanced tech company clients respond to and resolve urgent social media, infringement, recall, regulatory and indemnity issues.
David helps clients bridge the gap between the technical and the legal. He responds quickly and comprehensively to client needs and seeks out effective, practical ways to reach a satisfactory resolution on time, in budget and within a client’s risk tolerance.
