David J. Greene is a Partner in the Investment Funds Practice at Simpson Thacher & Bartlett LLP. David’s practice includes the representation of private fund sponsors in forming and operating private funds and related alternative asset arrangements.

David has a broad range of experience, including:

  • Representing sponsors in their global fundraising activities
  • Representing energy and infrastructure funds, natural resource funds, buyout funds, co-investment funds, venture funds, credit funds, real estate funds,  and other private investment vehicles in investments, operations and exits
  • Negotiating strategic relationships, co-investments and other long-term partnering arrangements
  • Structuring U.S. and international investment and operations
  • Structuring internal sponsor arrangements
  • Advising on securities law matters, including registration and compliance under the Investment Advisers Act of 1940 and exemptions under the Securities Act of 1933 and the Investment Company Act of 1940

David regularly publishes articles on topics relating to the private funds industry, including for the Journal of Investment Compliance (“Marketing Non-US Private Equity Funds in the United States: A Roadmap Through the Various Regulations and Tax Implications,” 2017), Global Law and Business (“Private Equity Coinvestment,” chapter in Global Investment Funds, 2016) and Law360 (“Private Equity Firms: Prepare For The BE-180 Survey,” 2015).

He has been recognized by leading legal directories. Most recently, he was recommended for “Investment Fund Formation and Management” by The Legal 500 United States. David received his J.D. from the University of Virginia School of Law and his B.A. and B.A.S. from the University of Pennsylvania. He is admitted to practice in the District of Columbia and Virginia.
