Dawn M. Maruna is a member of the Commercial Transactions and Business Counseling Group in the Firm’s Nashville office. Dawn Maruna is a senior business and technology attorney who concentrates her practice on data privacy and security, vendor management, corporate transactions, and regulatory compliance matters, including the General Data Protection Regulation (GDPR), the Federal Trade Commission’s (FTC) online advertising and marketing regulations, the U.S. Foreign Corrupt Practices Act (FCPA) and U.K. Bribery Act, the Family Educational Rights and Privacy Act (FERPA), and cybersecurity regulations.
Dawn frequently serves as outside counsel to a wide variety of businesses seeking assistance with structuring, drafting, and negotiating software and content licenses, distribution and supply arrangements, vendor, service provider, and sales agreements, SaaS, IaaS, and PaaS agreements, internet and e-commerce transactions, and strategy for managed service relationships among other topics. She has represented clients in large-scale contract negotiations for telecommunications, colocation, and software licensing and development, as well as strategic alliances involving electronic health records (EHR) for health care systems.
She also regularly advises clients on legal issues related to website policies and disclaimers, mobile applications, social media, ethics, emerging technologies, and non-profits (CRM, affiliate relationships, membership, fundraising, and events).
As a former in-house technology counsel for a bank and information technology manager, she is particularly adept at facilitating communications and knowledge transfer between board members, executives, management, lawyers, technologists, procurement specialists, and others.
She also draws upon her former practice as a complex commercial litigator in New York City to advise businesses involved in financial services, insurance, manufacturing, construction, hospitality, energy, and transportation (car rental, ride share, aviation, ground transportation, etc.) industries.
