Florida v. Georgia — Representing the State of Georgia in an equitable apportionment action before the Supreme Court. The case involves a dispute over the allocation of water in the Apalachicola-Chattahoochee-Flint River Basins.
State of Louisiana v. Teva Pharmaceuticals — Represented Teva in obtaining dismissal of a state law antitrust case in the 19th Judicial District Court of Baton Rouge arising out of a patent litigation settlement.
Merion Capital v. BMC Software — Represented BMC in an action brought by Merion Capital in Delaware Chancery Court seeking appraisal of 7,629,100 shares, arising out of the $6.9 billion acquisition of BMC by Bain Capital LLC and Golden Gate Capital. Following a four-day trial before Vice Chancellor Glasscock, the Court held that “fair value” under the appraisal statute was equal to the merger price.
In re Ancestry.com Shareholder Litigation — Represented Spectrum Equity in obtaining dismissal of shareholder litigation in Delaware Chancery Court challenging the fairness of a proposed $1.6 billion merger of Ancestry.com into an affiliate of Permira.
NRG Energy v. Exelon — Represented NRG in connection with successful defense against a hostile tender offer launched by a competitor. Included defense of five suits in Delaware and New Jersey involving breach of fiduciary duties and related claims, in addition to an offensive suit in the Southern District of New York under federal securities law.
