Diana E. McCarthy focuses on representations of registered investment companies, including exchange-traded funds, and their independent boards of directors, investment advisers and other financial services companies.
She has counseled with respect to multiple class funds, funds of funds, multi-manager funds and funds serving as underlying investment vehicles for variable insurance products. Diana is a partner in the firm’s Investment Management Group.
Diana regularly advises investment advisers on their day-to-day operations, including structural issues, regulatory requirements, risk management and compliance issues. She also works with clients on reorganizations of funds and acquisitions and mergers of investment advisers. Diana lectures frequently on investment management issues.
Prior to joining the firm, Diana served as law clerk for U.S. District Court Judge Raymond T. Broderick from 1993 to 1994.
Experience :
Diana has advised a number of investment advisers and broker dealers with regard to their obligations under federal and state securities laws, including insider trading, securities lending, distribution in guise, disclosure issues, market timing and late trading, and improvements in their oversight and controls of employees and operations.
She has also served as an SEC independent compliance consultant to many of these organizations in connection with SEC enforcement actions.
Diana advises independent directors and Fund Boards on a broad spectrum of governance issues, including committee structuring, service provider contract arrangements, and other governance practices.
