Hever “Joby” Bascon focuses his practice on investment funds, multilateral financings, and mergers and acquisitions. He represents clients in the full range of their private equity business activities, including negotiating and documenting the formation, operation, management, portfolio investment and divestment, liquidation and dissolution of private equity investment funds.
He has advised funds in connection with the negotiation of securities purchase, subscription, loan and shareholder agreements as well as diverse fund-related issues such as fund structure, administration, operations, management fees and distributions of proceeds of portfolio investments.
For more than 20 years, he has represented a lender in connection with its secured debt financing of billions of dollars to numerous private equity investment funds operating in emerging markets.
Joby also advises clients in the formation of cryptocurrency investment funds, technology licensing and distribution, equipment acquisitions, start-up business ventures, joint ventures, corporate consolidations and restructurings, due diligence reviews, proxy solicitations, Securities Act registrations, and other general corporate and business matters. In addition, he has advised clients on the commercial, privatization, government procurement, labor, and criminal laws of the Philippines.
