  • Counsel to a Philadelphia-based private equity fund in the acquisition, financing, operation, leasing, and disposition of multiple full service hotel and Class A office properties in urban markets throughout the United States, including leading the negotiation of hotel franchise and management agreements with Marriott, Hilton, and Intercontinental Hotels and leading in the negotiation of major tenant office leases.
  • Counsel to a Philadelphia-based private equity fund in the acquisition, financing, and disposition of multiple Class A office properties in primary urban and suburban areas throughout the Eastern and Midwestern United States.
  • Counsel to a suburban Philadelphia-based separate account adviser and private equity fund sponsor in the investment in multifamily, office, and hotel properties throughout the Eastern and Midwestern United States, including the recent recapitalization through the provision of highly structured mezzanine debt of an office property portfolio located in Wilmington, Del. and suburban Philadelphia and the recapitalization through a senior preferred equity investment of a hotel portfolio located in suburban Washington.

Specific examples of Howard’s experience are provided in the Experience section of this biography. Howard’s keen appreciation of client priorities comes in part from having devoted nearly 10 years to serving as a senior manager at two well-known Philadelphia-area real estate firms.

He was director of acquisitions for a top 50 multifamily owner and operator, and chief investment and chief operating officer of a regional multifamily owner and operator whose portfolio included more than 30 assets in eight states.

In these positions, Howard was responsible for sourcing, underwriting, financing, and closing multifamily property acquisitions, establishing and managing joint venture equity relationships, and directing the operations and management of the portfolio properties.

Howard is an active member of the Urban Land Institute and serves as a participant on multifamily industry panels. He is involved in a number of charitable endeavors through the Federation of Jewish Agencies, currently serving as a member and on the program committee of Jewish Federation Real Estate.

EXPERIENCE :

  • Represented the developer in the redevelopment of a Center City office building and bank facility into the Philadelphia Ritz-Carlton Hotel, including structuring, negotiating, and documenting equity participation, tax credit investment, hotel management, project construction, and permanent debt financing.
  • Represented the developer of the 500-room Sheraton Atlantic City Convention Center Hotel, including the structuring, negotiation, and completion of the joint venture equity and debt financing among the project participants, a private investor, Caesars Atlantic City, a national banking institution, New Jersey Casino Reinvestment Development Authority, Doubletree Hotels Corporation, and Sheraton Hotels Corporation.
  • Represented the Philadelphia Redevelopment Authority in the redevelopment of the Reading Terminal HeadHouse, an $80 million, tax credit assisted urban redevelopment project, including structuring and negotiating the redevelopment and equity and debt financing program for the project, with public area, retail, and hotel components; a condominium structure; and a historic tax credit investment.
  • Represented a family office in an investment with an operating partner in a series of joint ventures for the development and financing of industrial buildings, ranging in size from a portfolio of 50,000 sq. ft. buildings to a building over 600,000 sq. ft., in Florida and North Carolina.
  • Represented an operating partner in the sale and joint venture with an institutional investor and financing of a portfolio of over 70 industrial flex buildings in North Carolina and Georgia with an aggregate value of over $300 million.
  • Represented a Boston-based private equity fund in its acquisition of control of a $50 million tax exempt bond financed multifamily apartment portfolio located in Tallahassee, Fla., owned by a non-profit 501(c)(3) corporation. Responsible for structuring and negotiating the acquisition of unsecured notes and the modification of numerous project documents, including asset management and purchase option agreements and PILOT documents.
