
Jessica A. Backus is an associate in the Chicago office of Seyfarth Shaw LLP. She is a member of the firm’s Corporate Department with experience in the areas of mergers and acquisitions, commercial finance and general corporate law.
Ms. Backus’s practice encompasses a variety of transactional work, principally including mergers and acquisitions, commercial and finance transactions, and general corporate and securities matters. She represents both buyers and sellers in a range of M&A transactions, particularly with regard to middle-market companies.
She has experience negotiating and drafting operating and shareholders agreements, private securities offerings, and other commercial contracts, including purchase agreements, service agreements, licensing agreements, and consulting agreements. Ms. Backus also counsels clients on general corporate matters and prepares various agreements for different corporate entities.
While in law school, Ms. Backus served as a clinician in Loyola University’s Tax Law Clinic and Business Law Clinic, where she advised entrepreneurs and small business owners seeking legal assistance with not for profit organizations. She continues her dedication to pro bono work today by representing non-profit organizations in organizational, governance, and transactional matters. Ms. Backus also worked as a Summer Fellow at Seyfarth Shaw in 2015.
