John L. Whitlock is an experienced finance lawyer who has represented lenders, indenture trustees, and borrowers in secured and unsecured financing transactions, including syndicated bank loans, stand-by letters of credit, and subordinated and senior bonds, including tax-exempt bonds. He has also represented borrowers, lenders and investors in structured financing transactions including securitization transactions.
He has also represented creditors, trustees, creditors’ committees, and debtors in bankruptcy and workout matters, including transactions involving the purchase or sale of assets by or from insolvent companies in or outside of bankruptcy, the reorganization of business organizations and restructuring of debt including foreclosures on collateral by secured creditors including indenture trustees. He has also advised bankers and other lenders on compliance with consumer banking and consumer disclosure laws.
Representative Experience :
- Counsel on consumer compliance matters, including document design and compliance, application, rejection and loan approval procedures, and billing matters
- Represented investors in the workout of a failed structured financing arrangement in the oil and gas services sector
- Represented a publicly held energy company and its principal subsidiaries in public bond (taxable and tax exempt) and syndicated loan financings
- Represented leveraged investment funds investing in consumer loans and commercial accounts receivable in connection with their investments and bank credit agreement financing
- Represented investors in bonds secured by private toll road revenues
- Represented borrowers and investors in securitization transactions involving securitization of commercial loans and accounts receivable
- Represented an indenture trustee in bankruptcy proceedings of an energy and waste disposal company and its operating subsidiaries
- Represented an indenture trustee of debt secured by aircraft in the bankruptcy reorganization of two major airlines, including foreclosures and sales of aircraft, and restructuring of publicly financed and privately financed aircraft
- Represented banks, other lenders and servicing companies on compliance with state and federal consumer protection and licensing statutes, including regulations of the CFPB, with respect to making and purchasing consumer loans, including student loans and automobile financing
