Lanny Boeing has extensive experience in representing public and private companies, including advising on mergers, acquisitions and divestitures, joint venture formation, SEC compliance, public and private capital raising, and corporate governance. Lanny has represented clients in numerous industries, with the majority of his recent practice devoted to the oil and gas industry, including 10 years as vice president and general counsel of a public upstream producer.
Having previously been a partner at Haynes and Boone, Lanny rejoined the firm to continue his practice representing a wide range of clients in all aspects of corporate and securities matters, both publicly-held companies and privately-held companies.
Whether leading project teams in public and private equity and debt capital raising activities, mergers, acquisitions, divestitures or spin-offs, counseling clients on SEC periodic reporting compliance requirements, or advising boards and management on corporate governance and other matters, Lanny has always sought to achieve client goals in a timely and cost-effective manner.
In addition, Lanny has extensive experience in assisting the firm’s nationally-recognized Restructuring Practice Group representing debtors and creditors committees in complex reorganization transactions.
During his 11 year association with a long-time firm client and natural gas producer, Lanny managed over $4.0 billion of public and private equity and debt capital transactions, and negotiated and closed over $12.0 billion of mergers, acquisitions, joint ventures and divestitures.
He has been lead counsel in the formation of multiple upstream and midstream joint ventures and drilling partnerships, as well as in complex debt management, exchange and restructuring transactions, and he has negotiated multiple revolving credit and term loan facilities. Lanny also managed all aspects of corporate governance, SEC and NYSE compliance, and litigation.
As a member of the senior leadership team, Lanny also oversaw the Environmental, Health and Safety, Human Resources, Supply Chain and Risk Management Departments. With his significant and diverse experience, Lanny brings a seasoned in-house perspective to his representation and understanding of client needs and expectations.
