Lawrence Frishman represents sponsors and lead investors in the formation and operation of U.S. and offshore leveraged buyout, venture capital and hedge funds, as well sponsors in joint ventures and acquisitions of other investment advisory businesses.
Mr. Frishman has helped organize various other types of funds, including mortgaged-back securities funds, mezzanine funds, industry-focused funds and funds targeting acquisitions in specified foreign countries. Mr. Frishman also has represented both money managers and “anchor investors” in forming and monitoring their relationships with each other.
He also assists investment advisers with respect to various regulatory and compliance matters, including registration of investment advisers with the SEC and assistance with various other types of regulatory filings.
Mr. Frishman’s finance practice focuses primarily on commercial lending transactions, and includes the representation of borrowers and financial institutions in acquisition financings, workouts, restructuring and debtor-in-possession financings, working capital financings, financings for investment grade companies, private placements and equipment financings.
