For more than 30 years, Lawrence M. Friedman has focused his practice on business, legal and tax issues affecting a broad range of industries, including financial services. He maximizes values for clients through effective business and tax strategies, including mergers and acquisitions, demutualizations, corporate counseling, advising on debt and equity capital raising, executive compensation, alternative risk transfer structures, including captives, and international transactions.
He has been lead attorney for a broad range of acquisitions, dispositions and joint ventures ranging from a few million dollars to over $1.2 billion and has advised purchasers of more than 25 corporate and bank-owned life insurance policies (COLI-BOLI) having cumulative premiums in excess of $5 billion.
A certified public accountant as well as a lawyer, Larry is a frequent speaker and writer on mergers and acquisitions, strategic partnerships, business and tax topics. He has been selected by the editorial board of Inside the Minds as one of the leading M&A lawyers in the nation, and as an author of “Inside the Minds: Mergers & Acquisitions Best Practices: Leading M&A Lawyers on the Due Diligence Process, Structuring the Deal, and Negotiating Purchase Prices,” published by Aspatore Books.
He also co-authored the chapter on taxation in several editions of the treatise, “Property-Casualty Insurance Accounting,” published by the Insurance Accounting Systems Association. He has addressed many groups, including the Society of Actuaries’ Mergers & Acquisitions Seminar, the Insurance Tax Conference, the Illinois CPA Society, and the Federal Bar Association in Washington, D.C.
Larry has served as president and a director of the Insurance Tax Conference, as a director of the Hartford Institute on Insurance Taxation, as vice chairman of the Tax Committee of the Tort and Insurance Practice Section of the American Bar Association and as a member of the Board of Advisors of The Insurance Tax Review. In addition, he has held the position of adjunct professor at IIT/Chicago-Kent College of Law, where he taught LL.M. candidates.
Active in the community, Larry has held the positions of vice chairman and director of the Jewish Federation of Metropolitan Chicago, and secretary-treasurer and director of the North Shore Performing Arts Center Foundation in Skokie. He is listed in “Who’s Who in America” and has been recognized as a Leading Lawyer. After more than 20 years as a partner, Larry recently became of counsel.
