Lucretia also regularly advises clients on the design, drafting, administration and day-to-day compliance of a full range of executive compensation and benefits matters, including employment agreements, change in control agreements, consulting agreements, retention agreements, deferred compensation, equity-based compensation, partnership compensation, and the impact of the Internal Revenue Code, ERISA, accounting rules, securities laws and other applicable laws or rules on such arrangements.
In addition, she counsels clients on the design and administration of tax-qualified retirement plans, such as 401(k) plans, pension plans and welfare plans.
In addition, Ms. Messiah has also represented both investment fund sponsors and tax-qualified pension funds in connection with ERISA Title I matters involving pension plan investments in alternative investment vehicles.
Throughout her career, Lucretia has been involved in numerous high profile corporate transactions where she played a key role representing both buyers and sellers in connection with employee benefits and compensation-related aspects in such transactions.
Ms. Messiah focuses her pro bono work in the field of immigration and also in assisting nonprofits.
