Maurizio Levi-Minzi is an M&A lawyer with over 20 years of experience advising clients in cross-border acquisitions of a broad variety of assets including infrastructure assets and complex joint ventures. Mr. Levi-Minzi has led transactions in Latin America, the United States, Europe, and Asia for private equity groups and strategic investors including Ambev, Barrick, Brookfield, Carlyle Group, Clessidra, CSN, GP Investments and Mitsui.

He is ranked as a leading lawyer for mergers and acquisitions in Latin America by Chambers Latin America (2019), Latin Lawyer 250 (2018) and by The Legal 500 Latin America (2018).

In 2019, Mr. Levi Minzi discussed trends in the Latin America M&A market at the IBA M&A Latin America Conference in Santiago, Chile. In 2018, he led a panel discussing Reps and Warranties Insurance at the Latin Lawyer Private Equity Conference in New York. He has co-chaired the program “Doing Business in and with Emerging Markets” of the Practising Law Institute for a number of years and is also an adjunct professor at New York University, where he teaches cross-border M&A.

In 2015, he spoke at the Biennial IBA Latin American Regional Forum on the topic of private equity investments in Latin America. In 2014, he spoke at the annual conference of the IBA in Tokyo on the topic of cross-border M&A transactions between Asian and Latin American companies.

Mr. Levi-Minzi is a 1993 graduate of the University of Pennsylvania Law School and holds an M.B.A. in Finance from Golden Gate University. Prior to joining the firm, he was a banker with NMB Bank (ING Bank) in New York. Mr. Levi-Minzi is fluent in Italian and Spanish and understands Portuguese.

    • Ambev S.A. in the acquisition of a 30% interest in Cervecería Nacional Dominicana (CND), the leading beer company in the Caribbean, and the restructuring of its joint venture with E. León Jimenes, in a transaction valued at $926.5 million.
    • Four Italian private equity firms in the sale of Dynamic Technologies, a global designer and manufacturer of automotive fluid-handling systems and precision aluminum parts.
    • Brookfield Business Partners and Brookfield Asset Management in their proposed acquisition for $768 million of a 70% controlling stake in the business of Odebrecht Ambiental, Brazil’s largest private water distribution, collection and treatment company.
    • Lauro Cinquantasette in its €315 million sale of Prime European Therapeuticals S.p.A. to Albany Molecular Research.
    • GP Investments in a joint venture with a subsidiary of the Abu Dhabi Investment Authority (ADIA) to finance the acquisition, through a tender offer in Brazil, of a controlling stake in BR Properties S.A., a Brazilian real estate company.
    • Brookfield Infrastructure Partners in its investment in Poseidon Water.
    • Ambev S.A. in a tender offer to acquire a controlling stake in Banks Holdings Limited, a leading Caribbean brewery headquartered in St. Michael, Barbados.
    • Mitsui in its investment in VLI, a cargo logistics company.
    • Ambev S.A. in its $1.24 billion acquisition of indirect control of Cerveceria Nacional Dominicana (CND) and its strategic alliance with E. León Jimenes to create the leading brewer in the Caribbean.
    • Mitsui and the consortium of equity investors in the financing of the $1 billion Malhas natural gas pipeline network in Brazil.
    • Mitsui in its seven gas distribution joint ventures with Petrobras and the relevant Brazilian states.
    • Mitsui in its joint venture with Petrobras to acquire, finance and charter a $750 million ultra-deepwater drillship.

    • A leading steel company in the Americas in a dispute arising from an acquisition and related supply agreements.
    • The project financing of the Cerro Verde mine in Peru, which was recognized as the Project Finance Deal of the Year by Latin Lawyer Magazine.
    • Mitsui in its investment in VLI, a cargo logistics company.
    • PVDC, a subsidiary of Barrick and Goldcorp, in a renegotiation of the terms of the Pueblo Viejo Special Lease Agreement with an NPV of $1.5 billion.
