Max S. Cantor represents companies in all stages of development, with a particular focus on founding entrepreneurs, high-growth startups and later-stage emerging growth companies.
He has extensive experience in a broad range of corporate and transactional matters, including angel and seed round financings, venture capital and growth equity financings, M&A, joint ventures, fund formation and offerings of blockchain-based digital assets.
He works closely with clients – private and public companies across a variety of industries – to provide strategic business insights and outside general counsel services, including advising on corporate governance and organizational matters, intellectual property protection and licensing, equity compensation and other employee incentive structures, advertising, marketing and data privacy.
Max also has extensive experience representing venture capital and private equity funds, financial institutions, special purpose acquisition companies (SPACs), registered investment funds and business development companies (BDCs), angel investors and family offices.
Prior to joining Fox, Max was an associate in the venture technology group of Dentons LLP’s New York office. He also previously worked in the New York office of Skadden, Arps, Slate, Meagher & Flom LLP in its financial institutions, mergers and acquisitions and investment management practices.
While in law school, where Max was a Mitchell Jacobson Law & Business Scholar, he was staff editor of the NYU Journal of Law and Business and served in the Summer Honors Program of the U.S. Securities and Exchange Commission (Enforcement Division).
Additionally, he previously served as a legislative intern at the U.S. Senate Committee on the Judiciary, handling preparation and oversight for the nomination hearings process of Supreme Court Justice Elena Kagan.
Before practicing law, Max co-founded a small gourmet pizza shop in Vermont that has since expanded into a thriving, multi-venture enterprise.
Max is deeply involved in the emerging technology and venture capital ecosystem in New York and other cities across the country. He is a regular participant and speaker on panel discussions and at various other events focused on issues impacting the entrepreneurial community.
Max also serves as a mentor at Columbia Business School to students in the Columbia Entrepreneurs Organization (CEO), where he guides and supports MBA students exploring careers and opportunities in entrepreneurship, including founding startups, joining VC funds or investing directly in early-stage companies.
