Michele D. Ross has over 20 years’ experience in the area of corporate finance, focusing on domestic and cross-border capital markets debt issuances. She represents and advises financial institutions that provide financial intermediary and agency services to capital markets, concentrating on the representation of corporate trustees and all other financial intermediary roles.
She has participated in every facet of global finance, representing issuers, underwriters, trustees, and credit enhancement providers in connection with all types of capital market debt. Michele has extensive experience in handling domestic and cross-border debt securities and securitization transactions, as well as substantial experience in domestic and cross-border project finance.
Over the past decade, Michele has also acted as lead finance counsel in a variety of project finance transactions, including infrastructure projects, multi-family mixed housing projects and privatization of the rehabilitation and construction of military housing.
Michele also represents administrative agents in connection with both performing and distressed loan facilities.
Michele regularly advises major money center banks acting as Trustee, Collateral Agent, Security Trustee or Security Agent and Administrative Agent in connection with distressed and defaulted domestic and cross-border transactions and in connection with the related insolvency or bankruptcy proceedings.

EXPERIENCE :
- Served as lead finance counsel to the developer and negotiated all of the principal finance related agreements. This project was the first entity in the United States to successfully develop and finance a poultry-litter-fired power plant.
- Acted as lead counsel in one of the first public/private joint ventures for privatization of the rehabilitation and construction of military housing. The deal served as a model for public/private military housing finance.
- Acted as co-counsel advising on corporate trust issues in connection with the representation of a major money center bank as Collateral Trustee on behalf of $1.2 billion worth of debt.
