Mitch Tiras is a member of the Firm’s Executive Committee and serves as Co-Chair of the Firm’s Tax Department. Mitch’s practice includes the organization, structuring and capitalization of limited liability companies, partnerships and corporations for public and private entities, from both a transactional and tax perspective.
He also has extensive experience in the structuring, organization, and capitalization of private equity funds on behalf of sponsors and investors. He works with clients on the acquisition and sales of equity interests and assets to maximize the tax and related benefits for such transactions.
Representative Experience :
- Representation of various joint venture arrangements between exploration and midstream companies
- Representation of sponsor of investment fund for energy investment partnership for commitments in excess of $1 billion
- Representation of investor in $100 million equity investment in company focusing in manufacturing and marketing of biodiesel fuel and biodiesel plant construction, including numerous follow-on equity investments
- Representation of numerous portfolio companies and management groups in equity raising transactions ranging from $3 million to $500 million
- Representation of private equity firms for restructuring of existing portfolio companies, including corporate and tax analysis of transactions
- Representation of numerous master limited partnerships for acquisitions, equity and debt offerings, joint ventures, tax opinions for qualified income, “drop down” transactions and conflict committee representation
