Nicholas Jay Houpt has significant experience representing private equity funds and companies on transactional matters, including mergers, acquisitions, dispositions, leveraged buy-outs, carve-outs, equity investments, joint ventures, cross-border transactions and other strategic transactions in a broad range of industries.  Mr. Houpt has also represented clients in connection with various distressed transactions and restructurings in and outside of bankruptcy.

Mr. Houpt also represents issuers and bondholders in connection with issuances of high-yield debt securities in public offerings, Rule 144A and Regulation S offerings, private placement and restructuring transactions.

  • a global private equity fund in an acquisition of a NASDAQ-listed hospitality company

Mr. Houpt’s representative strategic M&A matters include his representation of:

  • a large chain in the convenience retailing industry in its acquisition of over 100 gasoline and convenience store locations
  • The special committee of a board of directors of a NYSE-listed rental company in a merger with a NYSE-listed rental company
  • An industrial company in the acquisition of another industrial company
  • A distributor of fluid power and power train solutions in the acquisition of another distributor of fluid power and power train solutions

Mr. Houpt’s representative debt finance matters includes his representation of:

  • An international marketing company in its €400,000,000 offering of senior high-yield notes
  • An international marketing company in its $500,000,000 offering of senior high-yield notes
  • A domestic energy company in its $500,000,000 offering of senior high-yield notes
  • Secured bondholders of a UK listed satellite operator in connection with the group’s financial difficulties
  • Unsecured bondholders of a Greek listed glass and refrigeration business in connection with the group’s financial difficulties
