Nicolai M. Schwarz-Gondek specializes in private equity and mergers and acquisitions. Nicolai regularly represents private equity sponsors and other institutional investors in connection with mergers, stock and asset acquisitions and divestitures, and leveraged and management buyouts involving public and private companies.
He also represents target and acquiring companies (including the portfolio companies of private equity firms) in various types of domestic and international merger and acquisition transactions.
Nicolai’s practice spans a wide range of industries, including apparel, equipment rental, information services, manufacturing, media and technology, real estate, renewable energy, and software.
Nicolai’s recent representations include, on the private equity fund side, Clearlake Capital Group, Diversis Capital, Marlin Equity Partners, Platinum Equity, Seidler Equity Partners, and Variant Equity, and certain of his company-side representations include AmQuip Crane Rental, AppFolio, ConvergeOne, HEAT Software, Inventus Solutions, ScanSource, Syncsort, Tesla Energy Operations, and Vision Solutions.
In addition to his practice, Nicolai is a lecturer in law at the University of Southern California, where he teaches “Contract Drafting, Analysis and Negotiation.” He is also a licensed real estate broker in California.
Nicolai was named a Southern California “Rising Star” by Super Lawyers in 2015 and 2016.
