Mr. Nikolei Kaplanov’s practice focuses on M&A litigation and shareholder derivative litigation, as well as advising with respect to a broad range of corporate governance and business matters.
Mr. Kaplanov also has significant experience representing publicly traded Delaware alternative entities in direct and derivative litigation involving breach of contract claims. Recent representative experience includes serving on Weil teams that:
- Obtained a complete reversal by the Delaware Supreme Court of a $171 million trial judgment by the Delaware Court of Chancery against El Paso Pipeline GP Company, L.L.C. in a derivative claim brought by a limited partner.
- Successfully represented General Electric Co. in a books and records action in New York Supreme Court.
- Served as counsel for Zale Corp. before the Delaware Court of Chancery in a shareholder appraisal action following its acquisition by Signet Jewelers, Ltd.
Prior to joining the Firm, Mr. Kaplanov served as a law clerk to the Honorable Henry duPont Ridgely of the Delaware Supreme Court. During law school, Mr. Kaplanov served as an intern to the Honorable Dolores Sloviter of the United States Court of Appeals for the Third Circuit, and as an Executive Editor of the Temple Law Review.
In addition, Mr. Kaplanov wrote one of the first widely read and cited academic papers on bitcoin: “Nerdy Money Bitcoin, the Private Digital Currency, and the Case Against Its Regulation,” 25 Loyola Consumer Law Review 111 (2012).
