Ogechi P. Harry is an associate in the Chicago office of Mayer Brown and a member of the Government Relations & Public Law and Africa practices. She has experience in infrastructure development, finance and strategy and has advised and worked with public and private sector clients on a variety of transactional issues.
Ogechi has advised clients on complex large-scale infrastructure projects, particularly public-private partnerships (“P3s”). In her former role in the Infrastructure practice at KPMG, she advised public sector clients on matters involving, among others, P3 project delivery and procurement structuring, bidder financial capacity, indicative credit ratings, construction project oversight, risk allocation analysis, feasibility studies, and transit-oriented development. Her public clients procured a wide range of projects in the high-speed rail, social infrastructure, and toll road project finance sub-sectors.
During her time as legal counsel for Skanska Infrastructure Development, Ogechi managed legal due diligence aspects of the bidding process for bridge, airport, and toll road projects. She drafted procurement documents for submission to government procurement authorities, assisted with negotiating project agreements, and structured legal entities for equity partner participation in project special-purpose vehicles.
Ogechi also managed the service agreement drafting, negotiation and engagement process for the hiring of external consultants, including financial advisors, sponsor’s and lender’s legal counsel, and financial model auditors. She assisted with the drafting of corporate governance documents as well as teaming and partnership agreements between equity partners and construction partners.
She also negotiated and drafted non-disclosure agreements with banking institutions. In addition, Ogechi managed the corporate formation, governance, and regulatory compliance issues for the firm‘s project-specific subsidiaries in the United States and Canada.
