Paul H. Shaphren’s practice includes general business representation (including contract drafting, review and negotiation); formation and operation of corporations and limited liability companies; non-litigation resolution of entity governance issues and other business disputes; sales and purchases of businesses; private placements of securities and venture capital transactions.
Paul’s securities law experience includes periodic reporting and proxy solicitations, broker-dealer regulation, secondary and initial public offerings (as issuer’s and underwriter’s counsel), intrastate offerings and private placements.
Prior to joining Prince, Yeates & Geldzahler, Mr. Shaphren was a shareholder at Callister Nebeker & McCullough for 18 years. Prior to that, he was counsel with the Salt Lake City, Utah office of Ballard Spahr. Mr. Shaphren started his career as an associate, and then a shareholder, at a Salt Lake City boutique firm.
