Paul M. Mahoney, a member of the Firm’s Private Equity & Venture Capital Practice Group, represents middle and lower middle market private equity funds and portfolio companies in their varied investment activities and strategic transactions, with an emphasis on mergers and acquisitions.
After his private equity client’s acquisition, Paul advises the portfolio company on its strategic priorities, including add-on acquisitions and dispositions, structuring management equity and other incentives, corporate governance matters, debt and equity recapitalizations and restructurings, and the company’s ultimate sale to a strategic or financial acquiror.
Paul’s involvement in the full lifecycle of a private equity investment affords him the perspective to appreciate the various constituents’ concerns and priorities when planning and implementing a client’s strategies. This allows him to anticipate issues and craft creative and cost-effective solutions.

- Represented Nautic Partners and its portfolio company Healthcare Payment Specialists (HPS), a leader in helping healthcare providers optimize Medicare reimbursement, in the sale of HPS to TransUnion Healthcare Holdings, Inc., a subsidiary of TransUnion (NYSE: TRU)
- Counseled Nautic Partners and its portfolio company Community Medical Group (CMG), a leading at-risk primary care provider serving over 70,000 Medicaid, Medicare Advantage, and Health Insurance Marketplace program patients in Miami-Dade County, Florida, in the sale of CMG to Centene Corporation (NYSE: CNC)
- Represented Silver Oak Services Partners in its recapitalization, in partnership with management and co-investors, of Brilliant Staffing, a leading provider of temporary and permanent finance, accounting and IT professionals to the Greater Chicago and South Florida markets
- Counseled OrionCKB, a Boston-area agency focused on helping clients scale their advertising on social media, in its sale to digital marketing agency Elite SEM, a portfolio company of Denver-based Mountaingate Capital
- Represented Silver Oak Services Partners in its sale of Accent Food Services, an Austin, Texas-based distributor of fresh food, snacks and break room refreshment services, to Audax Private Equity, having counseled Accent in 16 add-on acquisitions under Silver Oak’s ownership
- Represented Silver Oak Services Partners in its sale of National Distribution & Contracting, Inc. (NDC), a leading healthcare supply chain company and distributor of consumable medical supplies, to private equity firm Court Square Capital Partners
- Represented Genoa, a QoL Healthcare Company, a Nautic Partners portfolio company that is the leading behavioral health specialty pharmacy company in the U.S., in a strategic investment from Advent International
- Represented Oasis Outsourcing, a West Palm Beach, Florida-based portfolio company of Nautic Partners and Altaris Capital Partners and the largest professional employer organization (PEO) in the United States, in its sale to Stone Point Capital
- Represented Nautic Partners in its acquisition, in partnership with management, of QoL meds, a Pittsburgh-based specialty pharmacy serving the mental health community
- Advised Seaport Capital in its leveraged acquisition of American Internet Services, Inc., a San Diego-based provider of data center co-location services
- Represented Nautic Partners and Genstar Capital in the formation and funding of Axia Health Management, LLC, a provider of preventive health and wellness programs to insurance companies and employers, and the Company and its private equity investors in Axia’s five acquisitions and eventual sale to Healthways, Inc., a public company, for $450 million
