Peter L. Blacklock has a broad-based transactional practice. He serves as outside general counsel for a number of the firm’s clients, advising boards of directors and C-suites from a broad spectrum of industries, including technology, hospitality and leisure, real estate, consumer products and retail, financial services and manufacturing.
Pete has extensive experience providing guidance to businesses at all stages — from entity formation to capitalization, governance, product development, marketing and distribution, mergers and acquisitions, restructurings and divestitures.
He advises clients on issues that arise in day-to-day operations, including employment matters, contractual relationships with customers, vendors, contractors and suppliers, dispute resolution and litigation management. Pete also counsels clients on the transactions and related matters summarized below.
As a member of the firm’s Intellectual Property Department, Pete’s practice consists primarily of representing corporate clients in the development, protection and exploitation of all forms of intellectual property assets, with an emphasis on software licensing.
Pete has extensive experience in the acquisition and disposition of patents, trademarks, copyrights, trade secrets and other intellectual property rights.
He has drafted and negotiated a wide-array of contracts, including alliance, consortium, inbound and outbound distribution, open source, works-for-hire, warrant, branding, non-disclosure, service, marketing, joint-venture, linking and portal agreements, outsourcing, hosting and application service provider agreements.
Pete provides counsel to developers, joint ventures, REITs and a variety of institutional and non-institutional investors in connection with the purchase and sale of real estate investment portfolios, including financing, contract negotiation, title review and site due diligence.
He represents tenants, property owners and management companies in structuring, documenting and negotiating retail, office and industrial leases and related build-out, management and occupancy agreements.
Additionally, Pete routinely represents both borrowers and lenders in various aspects of capital markets and balance sheet financing, including permanent and bridge loan originations, credit facilities, senior and subordinate mortgage loans, private equity investments, participations and multi-tier mezzanine loans.
Pete formerly worked at International Business Machines (IBM), where he negotiated scores of strategic agreements, assisted in acquisition activities and generally advised the company’s executives and other internal stakeholders on strategies to streamline operations and ensure optimal efficiency.
He also served as counsel for Nextel Communications, handling commercial property leases and licenses and ensuring compliance with local, state and federal communications regulations as well as offering counsel to the company’s South Florida division on policy matters before the Federal Communications Commission.
