R. Scott Tobin provides strategic legal and business advice to high-growth businesses and those who manage and invest in them. While he counsels clients in a broad spectrum of industries, a significant portion of his business practice focuses on managing risk and capitalizing on growth opportunities for privately held technology companies and their investors.
He often teams with clients at business critical junctures including raising capital, leveraging capital and technologies (typically through licensing, strategic partnerships, or acquisitions) or when owners or managers are joining or exiting a business.
Scott also serves as U.S. general counsel to expansion-minded overseas companies, advising them on all aspects of U.S. market entry. His litigation work is concentrated largely upon disputes involving business sales and acquisitions and among private company investors and lenders, directors and management.
Scott has a varied background as a lawyer, senior executive, entrepreneur and venture capitalist. During the dot-com boom of the late ‘90s he led the buyout of a long-time software client by an NYSE-listed company. Before returning to private practice, he spent over a decade as both principal and operator of a succession of entrepreneurial business ventures.
His career has included partnership in an AmLaw 100 law firm and roles as board member, president, general counsel and principal financial officer of a publicly traded molecular diagnostics company, CEO of a formerly NASDAQ-listed North Carolina furniture manufacturer in which he became the lead investor, general counsel to a global software firm, executive vice-president for global strategies and manager of the venture investment portfolio of a publicly traded communications technology company, managing partner of the Atlanta office of a European law firm and assistant attorney general for the State of Georgia.
Scott is an active member of the region’s business community, serving in a variety of organizations including the National Association of Corporate Directors, the Association for Corporate Growth, the Savannah Economic Development Authority and the Piedmont Triad Entrepreneurial Network. He is also a Paul Harris Fellow with Rotary Club International, and North Carolina Coordinator of the GOP Presidential Ballot Access Committee.
Scott is also actively involved with the University of North Carolina School of Law, serving in roles with its Alumni Association, Foundation, Long Range Planning Committee, Council for Entrepreneurial Law and Initiative for Corporate Governance. He has also served as North Carolina election counsel to the National Republican Senatorial Committee.
