Ramin Mohammad advises clients on project finance, tax, cross border transactions, mergers and acquisitions, dispositions and development involving the financing, purchase and sale of energy and infrastructure projects. Mr. Mohammad has experience advising private equity sponsors, venture capital funds, and companies in a wide array of industries, with a particular focus on the energy sector.Prior to joining Akin Gump, Mr. Mohammad, who is a Certified Public Accountant, worked for the U.S. government at the Federal Energy Regulatory Commission (FERC).

There he worked in the Office of Enforcement serving as senior auditor and lead audits related to compliance and enforcement of applicable energy laws as set forth by the Commission’s rules, orders, and regulations relating to energy market structures, activities, and participants.  As well, Mr. Mohammad created recommendations for remedies to address violations and assist in pursuing remedies through negotiation or litigation.Before joining the FERC, Mr. Mohammad worked at Ernst and Young in their Core Assurance practice.

While at Ernst and Young, he worked predominantly with Fortune 500 companies with a focus on private equity companies in the United States, Asia, and South America   As well, Mr. Mohammad taught as an adjunct professor at George Washington University, also as an instructor for the Certified Public Accountant exam, and has engaged in some entrepreneurial start-up companies.

Mr. Mohammad received his B.S. in Commerce with a focus in Accounting and Finance from the University of Virginia, his M.S. in Accounting with a focus in Audit and Taxation from the University of Virginia, and his J.D. from the Columbus School of Law at the Catholic University of America.

He is a member of the State Bar of California, State Bar of Virginia, State Bar of the District of Columbia, and Virginia Board of Accountancy.

Representative Work:

  • Renewable Energy:
    • representing major solar developers and sponsors in raising funding of tax equity for residential solar portfolios
    • representing bank sponsor in tax equity collaboration with a developer for development of a 100.5 MW wind power generation facility
    • representing sponsor in tax equity deal involving inverted lease structure
  • Tax:
    • structuring tax equity deals for renewable energy projects involving solar and wind in accordance with IRS code and regulations
    • start of construction guidance for solar and wind tax equity deals involving ITC and PTCs
    • advising on opportunity zones and developing structures to incorporate opportunity zones into deal structures
  • Mergers & Acquisitions:
    • an emerging markets power fund in connection with multiple acquisitions, including the acquisition of the oil and gas portfolio assets in Kenya
      auctioning and sale of “Starbucks of Africa” in connection with jurisdictions in Kenya, Rwanda, Uganda and Tanzania
    • restructuring of a portfolio fund involving a $600 million new investor buy-in with assets in Europe and Japan
    • restructuring of an acquisition of an automotive concern and development of strategy for merger or asset sale
    • representing a private equity fund that specializes in investments in India, with an $85 million credit facility loan to the fund
    • acquisition of vessel based in Panama for a domestic shipping company.
  • Traditional Energy:
    • representing a consortium of Owners, including a premier company in turn-key power plant industry, in the development and project financing of the construction of a 300 MW heavy oil-fired power plant in Myanmar.
  • Government and Other:
    • representing for-profit and non-profit universities in Africa in various shareholder matters.
    • representing the Government of Liberia in connection with the development of a 125 MW, coal-fired power project with one of India’s largest steel, iron and coal conglomerates
  • Affiliations:
    • Mohammad is active in various pro bono matters including:
      representing Claimants denied social security disability benefits before the Social Security Administration
    • petitioning a minor for asylum status and special immigrant juvenile
    • researching for the United States Holocaust Memorial Museum in various projects, collaborations, and exhibitions
    • researching laws for non-profit organizations such as holocaust denial laws and refugee laws for the privatization of refugee sponsorship
    • assisting non-profit organizations with IRS non-profit exemption status applications.
