Reed King

R. Reed King focuses his practice in the area of energy law, real estate, commercial transactions and business law. Mr. King regularly assists clients with title examinations, due diligence, acquisitions and issues relating to mineral titles and conveyances.

EXPERIENCE:

• Lead U.S. real estate attorney for Fortune 10 international energy company, including multi-site and single-site acquisition, development and divestment of properties across the country, and environmental claims related to such properties
• Organized and led corporate restructuring team to prepare and record over 600 deeds and lease terminations between one subsidiary and another, in 10 states, as part of international project to save taxes
• Negotiated and documented resolution of condemnation dispute for oil refinery, to avoid forced relocation of above-ground storage tanks
• Resolved complex utility law questions, with help of outside counsel and partial transfer of 42 miles of gas pipeline, to enable sale of John D. Rockefeller’s first oil refinery (dating from 1870s) to close
• Negotiated LLC operating agreements and LP limited partnership agreements for equity investments by bank affiliates in residential and commercial projects, and sales of such equity investments to third parties
• Assisted with crisis management for bank prior to FDIC seizure, advising on cross-default and other issues, including senior debt workout and eventual bankruptcy filing for bank’s holding company and non-bank affiliates
