
Richard (Rich) E. Peterson has experience in a wide variety of matters including taxation of mergers, acquisitions and divestitures, partnership taxation and international taxation. He is experienced in partnership tax planning, including structuring venture capital funds (both U.S. and international) and advising potential investors.
Rich has worked on mergers, acquisitions and divestitures including taxable and tax-free transactions with both asset and stock acquisitions. He also has significant tax litigation experience covering all aspects of IRS controversy work from audits and appeals work through litigation before the U.S. Tax Court.
Rich has extensive experience in many federal income tax areas including the aspects of tax-exempt finance and REITs. Rich has represented many publicly traded and privately held REITs and has issued many REIT tax opinions.
Rich also has advised on a number of REIT conversions, offerings and other transactions. He provides tax advice to governmental issuers and conduit borrowers regarding a wide range of tax-exempt financings.
One such representative transaction would include acting as tax advisor to bond counsel with respect to the issuance of bonds for the refurbishment of Soldier Field in Chicago.
He represents taxpayers in tax controversies and the negotiation of closing agreements with the IRS. Rich also serves as tax counsel to exempt organizations regarding various tax exemption matters and to corporations and other entities regarding various state and local tax matters.
