Richard L. Sitton is a Counsel in Simpson Thacher’s Houston office. Richard has more than 35 years of professional experience dealing with business, commercial and legal matters involving the energy business. His practice focuses on capital market transactions in the oil and gas exploration and production, midstream and service sectors, as well as, engineering, procurement, fabrication and construction matters in the onshore and offshore refinery, petrochemical and power industries.
He represents commercial banks, mezzanine lenders, institutional investors, corporate borrowers, energy industry owners, industrial engineers and contractors and oil field service concerns.
Richard’s previous experience includes representing BNP Paribas, Wells Fargo Bank, N.A., JPMorgan Chase Bank, N.A. and Mutual of Omaha Bank in connection with numerous borrowing base financing transactions on both a first and second lien basis and ranging in size from $35 million to $2.25 billion.
He represented a hedge fund in numerous mezzanine and second lien facilities for oil field service concerns and Frontier Drilling in connection with its $650 million first lien revolver and its $200 million second lien term loan. He also represented a multinational petrochemical provider in connection with two Middle Eastern world scale ethylene and derivatives facilities including joint venture participation by local government owned enterprises.
Prior to beginning his legal career, Richard worked as a senior executive in the engineering/construction and oil field services industries where he was primarily involved in the commercial aspects of these businesses including mergers and acquisitions, joint ventures and contract negotiations.
Richard received his J.D., magna cum laude, from South Texas College of Law. He received his M.B.A. from Rice University and his B.S., cum laude, from Texas A&M University. Richard is admitted to the State Bar of Texas. Prior to joining the Firm, Richard was at the law firm of Vinson & Elkins.
