
Robert J. Sell is a Partner in the Chicago office of Seyfarth Shaw LLP, and is a member of the Firm’s Corporate Group. Mr. Sell is also a member and a leader of the Firm’s Technology Transactions sub-practice, and a member of the Corporate Group’s Mergers and Acquisitions sub-practice.
Mr. Sell has a unique combination of extensive experience with the negotiation and structuring of sophisticated corporate transactional agreements, and technology industry and intellectual property knowledge. Mr. Sell assists his clients with general corporate advisory matters, transactional contract drafting and negotiation, licensing and commercialization of intellectual property assets, and strategic partnership and joint venture transactions.
Mr. Sell also assists growth through advice in relation to private securities offerings, and venture capital and private equity financings. Finally, he assists companies in a variety of industries with achieving financial success through business sales, mergers and acquisitions, and asset dispositions.
In the area of Technology transactions, Mr. Sell regularly prepares and negotiates the terms of enterprise computer software license and implementation agreements, hardware purchase agreements, software development and services agreements, data processing agreements, value-added reseller agreements, and software marketing and distribution agreements.
Mr. Sell also has extensive experience and knowledge with respect to the outsourcing, data confidentiality and security, independent contractor, inventor and intellectual property ownership issues that arise in such projects. Mr. Sell has also assisted national and international financial, accounting, insurance, food industry, and metals industry companies, in connection with corporate transactions and technology transactions.
Mr. Sell represents various computer hardware and software companies, telecommunications companies, wireless internet service providers, nanotechnology and biotechnology firms, and a variety of other technology intensive and internet based businesses, at all stages of development (from early stage to public).
