Roger D. Rhoten counsels clients on the complexities of major corporate and international transactions, including mergers and acquisitions, spin-off transactions, leveraged buyouts, recapitalizations, securities offerings, joint ventures and private equity investments.
He advises both public and private companies involved in financing transactions, and also counsels on corporate governance, public disclosure and other general business matters.
Roger has recently advised on several complex international transactions, including the multibillion-dollar acquisitions and spin-off transactions for Baxter International Inc., Buffalo Wild Wings’ $2.4 billion sale to Roark Capital and many other large and small acquisitions, divestitures, carve-out sales and spin-off transactions, including those involving large concentrations of international assets and businesses.
In addition to his work for Baxter International Inc., Roger regularly represents several other health care, biotechnology and other life sciences companies. Recent transactions include acquisitions, carve-out divestitures, license transactions and commercial contracts.
Roger represents public and private companies in corporate governance matters, including compliance with SEC requirements, registration statement filings, shareholder protection and best practices for boards of directors.
Roger has also led the drafting and negotiation of several global outsourcing agreements with some of the best known global leaders in outsourcing services.
