Ryan Carpenter focuses his practice on the representation of private investment fund sponsors and investment advisers operating venture capital, growth equity, buyout, credit and debt, fund-of-funds and other strategies in connection with a broad range of issues, including fund structuring and formation, internal governance, regulatory compliance and day-to-day management and operations.
In addition to his ongoing work with a wide array of established fund sponsors, Ryan has counseled a number of emerging managers in relation to their launch and initial fund formation.
Ryan also advises institutional investors on all aspects of the acquisition and disposition of private investment fund interests in the U.S. and abroad, both on a primary basis and in connection with portfolio sales and other secondary market transactions.
Prior to joining Proskauer, Ryan served as an intern in the Enforcement Division of the U.S. Securities and Exchange Commission and, prior to law school, worked as an investment compliance officer for an energy-focused hedge fund manager and the investments division of a Fortune 100 insurer.
