Scott J. Arrington is a Partner in the Energy practice group of Locke Lord LLP and the Regional Practice Leader for Latin/South America. Scott represents domestic and overseas companies, joint ventures and public-private partnerships in connection with energy infrastructure development, acquisitions, dispositions, financings and international transactions.
As part of his practice, Scott has considerable experience negotiating and drafting commercial agreements covering the spectrum of project development, especially in the energy industry and including joint venture agreements; engineering, procurement and construction agreements; fuel and other feedstock supply agreements; gas sales agreements; power purchase agreements; LNG terminal use agreements; and financing arrangements.
In addition to his project development work, Scott has significant experience in acquisition and disposition work and has negotiated such transactions on both the stock and asset level. Able to speak Spanish and conversational Mandarin Chinese, he has spent a large part of his career executing both development and acquisition/divestiture transactions across borders, particularly in Latin America and Asia (including the Middle East).
Representative Experience:
- Represented Satellite Petrochemical USA Corp. and its China-based parent in a transaction with an affiliate of Energy Transfer Partners involving the supply of ethane to Satellite Petrochemical and a joint venture investment in a new pipeline, chiller, and storage facility
- Represented multiple United States midstream companies in the negotiation of crude oil and crude products terminal services agreements
- Represented a United States midstream asset development company in the development of an auction process and related contracts for the provision of crude oil storage services
- Represented a European private equity company in its joint venture and related negotiations with respect to an intrastate gas pipeline in Texas
- Represented a Canadian refiner with respect to various matters, including with respect to joint venture and related project agreements for a planned crude oil marine facility to be developed in conjunction with a crude oil pipeline to be built from Alberta to Atlantic Canada
- Represented a global financial institution with respect to inverted lease tax equity financings of solar power portfolios in the United States
- Represented a United States provider of power and pipeline contracting services with respect to joint ventures and contracting matters, including a bid to build, own and operate a natural gas pipeline in the United States
- Represented a major integrated oil and gas company in the restructuring of its power supply arrangements to prepare for the spin-off of its largest refinery, which was located in Texas
- Represented a United States energy company in the structuring and negotiation of construction management, operation and maintenance and related licensing arrangements with respect to the largest solar thermal power project in the world, which is located in California
- Represented a United States biomass company with respect to several biomass fuel supply and logistics projects in development, including the formation and organization of a joint venture for a chip processing facility in the United States
- Represented a Canadian independent oil and gas company in its investment in U.S. oil and gas upstream assets, including properties in the Fayetteville shale
- Represented a multinational petrochemical company in the restructuring of services and supply agreements for its polypropylene and polyethylene operations in Texas
- Represented a major oil and gas company in its negotiation of a long-term gas supply contract in the United States with an LNG regasification terminal on the U.S. Gulf Coast
- Represented a global power company with respect to the disposition of its interests in a Dominican Republic power plant
- Represented a consortium of seven companies in its acquisition of 50% of one of the electricity generation companies created as part of the capitalization process in the Dominican Republic, including negotiation of the constitutional documents for the consortium
- Represented international companies with respect to the development of crude oil and crude products storage and pipeline projects in Mexico
- Represented an international energy company in its acquisition of a 245 MW cogeneration facility under development in Mexico and, subsequently, the project company and its affiliates with respect to the development and ongoing operations of the facility
- Represented a Chinese mining company in the negotiation of its EPCM contract with an international engineering and construction company for a $2 billion mine in Peru
- Represented a European energy company in connection with its acquisition of a minority interest in the Camisea LNG project in Peru and related upstream assets and in connection with the LNG sales and purchase agreement for all of the LNG produced at the Camisea liquefaction facility
- Represented a major U.S. oil and gas company in its participation in a vertically integrated extra heavy crude oil production, transportation, refining and marketing joint venture in Venezuela
