Stephen McCallister joined Stoll Keenon Ogden’s Louisville office as an Associate in 2017 and is part of the Business Services, Corporate Finance & Lending, Real Estate and Business Litigation practices. He primarily focuses his practice on assisting lenders, borrowers, buyers and sellers navigate real estate and finance transactions of all types, including securing financing to acquire, develop and run businesses and commercial properties.
In addition, Stephen has experience with trial and appellate work, including arbitration and mediation, and represents clients in a wide variety of matters. He has successfully handled a civil Racketeer Influenced and Corrupt Organizations (RICO) case, along with disputes involving issues ranging from shareholder concerns to insurance coverage.
With a degree in International Affairs from George Washington University, Stephen has developed a holistic approach to problem solving that he applies to his practices. He is a magna cum laude graduate of the University of Louisville Brandeis School of Law.
Business Services: For local companies in Kentucky to major corporations, Stephen brings his distinct skill set and collaborative approach to business activities that include evaluating corporation governance documents, commercial contracts and financial transactions to assist his clients’ in their business ventures.
Corporate Finance & Lending: Stephen counsels banks, commercial lenders and equity investors on complex financial dealings, with particular emphasis on real estate transactions. Stephen concentrates on complex commercial real estate financing, asset based lending and project finance for development and construction loans, revolving credit lines and working capital needs.
This requires working regularly with brokers, title companies and other 3rd parties to prepare and negotiate the varying transaction and credit documents needed to close the deal.
Real Estate: Stephen provides representation for lenders and borrowers in financing real estate projects, including assisting in negotiating leases, purchase agreements, title covenants and transfer agreements on terms that are fair and beneficial to our clients. He has gained additional expertise in this area by handling construction disputes .
Business Litigation: An experienced advocate for businesses and professionals, Stephen gives careful consideration to his clients’ interests and objectives when confronting legal problems. Before a case is brought to the courtroom, or negotiating table, he carefully constructs a strategy to achieve the desired outcome.
