Steven M. Ellis is a partner in the Corporate Department, co-head of The Private Credit Group and a member of the Executive Committee. Steve concentrates in middle-market and upper-market financing transactions and restructuring matters.
With one of the largest client rosters in the industry, he represents an array of secured lenders, second lien lenders, debt funds and private equity funds in all types of transactions from recapitalizations to acquisitions.
He specializes in private credit financing transactions, including innovative, first-in-kind structures. He has represented lenders investing in private companies throughout the country and Europe.
Steve spends a substantial amount of time negotiating financing and acquisition transactions and focusing on various debt facilities, including: working capital loans; subordinated debt; second lien loans; intercreditor issues and distressed debt facilities related to IPOs; recapitalizations; mergers and acquisitions; and private equity and going-private transactions.
Steve actively represents more than 50 private credit providers, including SBIC funds, BDCs, hedge funds, one-stop shops, traditional mezzanine funds, specialty finance companies, insurance companies and bank subsidiaries in transactions that have ranged from $5 million to $2.7 billion.
In addition, Steve has substantial experience in creditor rights and insolvency. He regularly represents alternative investors in distressed debt acquisition and private credit investors in restructurings and investing for control. Steve has also represented companies and other creditor constituencies in insolvency proceedings.
Steve is a frequent panelist at alternative lending, second lien finance, secured lending and restructuring seminars.
