William D’Angelo III assists clients in a range of corporate finance, corporate governance, and entertainment and media matters, with an emphasis on technology, digital media, hospitality, and cross-border mergers and acquisitions.
His practice also includes restructurings, joint ventures, recapitalizations, financings, fund formation, the creation of specialized limited liability companies, and private equity transactions.
Bill is highly experienced in the area of new and emerging technologies, having been the founder and principal in a technology company turnaround firm where he successfully rescued several high-technology firms from insolvency.
He has particular experience representing companies, angel investors and venture capital companies in the emerging growth ecosystem, counseling startup companies throughout their corporate life-cycle from formation through the various stages of financing and finally to successful exits by acquisition, public offering or organic growth into a buy-side purchaser of other companies
Bill is a past Adjunct Professor of Law at USC Law School, where he taught an advanced course on venture capital law. He was also a founding Adjunct Professor for USC Law School’s online LLM program for international students and has been a mediator trainer and examiner for the Los Angeles County Bar Association.
Experience :
Financial Services : Bill routinely advises companies on special board committees, intellectual property transactions and licensing issues, employment and executive compensation matters, and optimum capitalization strategies, and has managed many large complex litigations to positive outcomes as outside general counsel.
He has also conducted and overseen internal inquiries for FINRA member companies and broker-dealers regarding compliance issues, and represents public companies in various SEC and FINRA compliance matters.
Technology and Emerging Growth : Bill works extensively with digital media, entertainment, biotechnology, medical device designers and pharma pioneers as well as aerospace, software, SAAS technology, legal software providers, and drone designers.
He has represented companies at almost every stage of financing from seed to mid-stage and has worked with a number of early stage companies in merger and acquisition negotiation.
During that life-cycle, Bill also assists his clients in developing intellectual property protections, intellectual property portfolios, and in articulating and executing long-range business strategies.
Corporate Governance : Bill’s longstanding corporate governance practice includes advising companies on executive compensation, non-competition agreements, technology licensing and transfers, and trade secret issues He has served on the board of directors of several companies, and currently serves as the outside member of the board of directors of Entangled Media Corp.
