William S.”Bill” Dudzinsky Jr. is a trusted business and legal advisor to publicly traded and privately held companies, private equity firms, management teams, entrepreneurs and investment bankers in complex corporate transactions, principally in the technology, media and telecommunications industries.
Bill represents and counsels buyers and sellers in mergers, acquisitions, dispositions, leveraged buyouts, roll-ups and minority investments and the various participants in strategic partnerships, joint ventures, tax-advantaged transactions, debt and equity restructurings and recapitalizations.
He is also experienced in advising boards of directors, audit committees and special committees on a wide variety of strategic matters, including issues with respect to corporate governance, disclosure obligations and fiduciary duties.
Bill counsels clients on the often complicated negotiations typical to multiparty M&A transactions—from inception through closing and post-closing integration.
Bill handles all phases of the corporate life cycle—from initial formation, including raising early stage capital and going public, to fulfilling public company reporting and operational requirements. He also provides advice and counsel on day-to-day operational matters, corporate initiatives, corporate governance and compliance standards.
Leveraging his prior experience as general counsel and managing director of a start-up hedge fund, Bill counsels private equity, venture capital and buyout funds looking at debt and equity investments in the media, communications, information technology and the for-profit higher education sectors.
He also advises on fund formation and structuring for both equity and debt portfolio investments. Bill also has experience with issues relating to initial public offerings, follow-on offerings, debt financings and private placements.
