Brian Michael Brown is a corporate attorney who concentrates his practice in securities, mergers and acquisitions, intellectual property, commercial real estate, and unincorporated entities such as partnerships and limited liability companies.
Brian’s clients range from multibillion dollar companies to start-ups and include technology companies, real estate investment trusts, and software companies. He represents many Fortune 500 companies in all aspects of corporate governance and securities compliance, including drafting and reviewing registration statements such as 10-Ks, 10-Qs, and 8-Ks. His corporate governance and compliance experience includes work for international companies.
Brian has extensive experience in commercial real estate and represents banks and credit unions in deals ranging from $1 million to $100 million. He has been involved in raising billions of dollars in equity and convertible securities.
Brian is well-versed in intellectual property matters, specifically with software licensing, OEM, and partnership agreements throughout the world—often negotiating these agreements on behalf of Fortune 500 companies.
He regularly acts as counsel for many smaller companies and assists them in all aspects of corporate governance. He is the co-author of the Virginia Limited Liability Company Forms and Practice Manual (2004) and a contributing author of Virginia Partnerships (2002).
