
Dale A. Schreiber is an optional service partner in the Litigation Department. His practice is devoted to commercial litigation and advising clients on litigation risk management on pending transactions, with an emphasis on technical and practical legal concerns relating to publicly traded securities, corporate governance, commercial insurance products, real estate, RICO, and the distribution of goods and services, including franchising and dealer/distributorship arrangements.
He has litigated cases in state and federal courts throughout the country, including New York, New Jersey, Connecticut, Massachusetts, Texas, Nevada, the District of Columbia, Florida, Illinois, Ohio, Georgia, and South Carolina, as well as in England.
Dale has spent considerable time defending class actions and other securities and shareholder derivative litigations on behalf of public companies and their management, litigating and resolving claims under (as well as developing custom-tailored) directors and officers liability policies, professional malpractice policies, and loss mitigation policies.
His securities law experience includes the defense of actions brought by a SIPA trustee for claims arising out of the insolvency of a securities broker-dealer, as well as the defense of shareholder class actions challenging mergers, “going-private” deals and company disclosure policies.
In the commercial real estate area, Dale also has extensive experience in litigation involving long-term, high-dollar commercial leases (both for landlords and for tenants), and disputes between and among partners of limited partnerships owning substantial commercial and residential properties, as well as workouts (litigated and negotiated) on behalf of financial institutions holding mortgages and borrowers owning mortgaged properties.
He has extensive experience with disputes between franchisors and franchisees, drafting documentation to comply with franchise registration and disclosure requirements and the financing of franchisors and large scale franchise operations.
These include the legal and business considerations reflected in automobile dealer/distributor agreements, state and federal franchise laws, restaurant and hotel franchises, and arrangements with importers and domestic distributors. He worked with structuring and restructuring dealer/distributorship, franchisor/franchisee and importer/factory relationships.
For over 15 years, he was the Co-Chair of the firm’s Risk Management Committee, and the firm’s representative for its professional liability insurance group of 16 large New York firms. He has represented law firms in litigation involving departing partners and shareholders, and advised law firms on structuring their firms and on their professional liability insurance arrangements.
Finally, he also has handled several RICO suits representing accounting firms, securities broker-dealers, real estate syndicators and automobile distributors.
