Gail H. Cutler is a member of the firm’s employee benefits and executive compensation practice. She works with clients’ in-house legal and human resources functions on regulatory and transactional matters related to employee benefits.
Gail assists large and midsize public and private employers with the implementation, design and administration of employee benefits. She helps businesses with respect to benefit plan mergers, terminations and de-risking offers.
Additionally, Gail has extensive experience resolving compliance issues with the IRS and Pension Benefit Guaranty Corp.

- Represented numerous clients before the IRS with respect to voluntary correction, audit resolution and determination letter programs for tax-qualified plans.
- Advised clients on, and prepared related documents for, the merger of defined benefit and defined contribution plans following corporate acquisitions.
- Counseled clients regarding various participant and benefit plan administration and claim issues.
- Performed due diligence of employee benefit plans and programs in connection with corporate mergers and acquisitions.
