
Peter Bean is a member of the firm’s Communications Practice Group. Peter represents domestic and foreign private and public sector clients in the technology and communications industries on a range of complex legal, regulatory and legislative issues, many of which are at the forefront of telecommunications law and policy.
Peter’s dynamic practice is global in scope and deep in experience, touching on many different facets of the industry. In the US, his practice centers on matters before the Federal Communications Commission (FCC) and state public utility commissions involving mergers and acquisitions, licensing, regulatory compliance, enforcement, and policy initiatives.
Internationally, Peter has expertise counseling foreign governments and regulatory authorities and has advised foreign telecommunications operators on regulatory matters and disputes with regulators in their home jurisdictions.
Peter advises a diverse group of clients that includes high-profile technology companies and content (edge) providers, wireless and wireline telecommunications providers, Telecommunications Relay Service providers, media companies, submarine cable system owners and operators, Voice over Internet Protocol (VoIP) providers, wireless and wireline broadband internet access service providers, mobile virtual network operators (MVNOs), cable franchise authorities, cable television operators, real estate investment trusts and developers, financial institutions, private equity firms, foreign governments and foreign regulatory authorities.
Peter’s transactional background covers the representation of buyers and sellers from the early stages of due diligence through closing. Peter conducts detailed reviews of prospective targets, provides counsel on transactional risks, prepares due diligence reports, and negotiates and drafts transaction documents touching on regulatory issues.
Peter also works to obtain the consent of the FCC and the relevant state public utility commissions to such transactions by drafting and filing the required applications and liaising with agency staff.
Peter has successfully obtained the consent of the FCC and state public utility commissions for numerous transfers of control, assignments, and other transactions of varying complexity and dollar values. Peter also regularly handles closing and post-closing tasks.
Peter also provides counsel to foreign and domestic service providers and investors seeking to enter new markets by obtaining the relevant federal and state operating authorities, where required, and advising on the prevailing investment climate.
Finally, Peter serves as part of the firm’s team that is general counsel to the 800 MHz Transition Administrator in connection with the movement of Sprint/Nextel to new spectrum bands.
Internationally, Peter has expertise advising foreign governments, regulatory authorities, and providers on matters in their home jurisdictions. Peter has provided legal, regulatory, and policy advice on matters such as spectrum allocation and management, Significant Market Power and market reviews, and enforcement issues. He has also drafted legislation, regulatory frameworks, licenses, and pleadings submitted to foreign regulators.
