Charles Kemp concentrates his practice on securities laws, corporate finance, mergers and acquisitions and corporate governance. He regularly assists public companies with equity and debt offerings, merger proxies, tender and exchange offers, 1934 Act filings, reorganizations, stock exchange listing requirements and fiduciary duties. He is the chair of the firm’s Securities and Corporate Governance practice.
Charles’ recent transactional experience includes a $1.2 billion convertible debt offering, an $800 million high-yield debt offering, a $2.1 billion strategic merger, $40 and $20 million common stock offerings and a $180 million tender offer for high yield notes.
Charles is licensed to practice in Virginia. He received his law degree, cum laude, from Washington & Lee University School of Law, where he was a member of the Moot Court Executive Board.
As a certified public accountant, Charles worked for the Federal Reserve Bank of Richmond as an assistant bank examiner before attending law school. He earned his Bachelor of Science degree in accounting from the University of Richmond and is currently a non-practicing certified public accountant.
