
Whitney K. Schmidt is an associate in the Corporation Department in the Chicago office of Seyfarth Shaw LLP. Ms. Schmidt’s experience spans all areas of business law with a concentration in the areas of mergers and acquisitions, finance, and general commercial matters.
Ms. Schmidt regularly represents lenders and borrowers in connection with the negotiation, structuring and documentation of syndicated, club and single bank financings. Such transactions include senior secured asset-based or cash-flow loan transactions involving working capital facilities or acquisition loans, mezzanine and second lien loans and capital call lines of credit to private equity groups.
In her M&A practice, Ms. Schmidt represents a broad range of buyers and sellers in all aspects of M&A transactions across a range of industries, including technology and business services, manufacturing, and consumer goods with a focus on middle-market companies.
In addition, she represents a variety of corporate clients in an outside counsel role in a variety of industries including food and beverage manufacturers, consumer goods manufacturers and service providers. She also has experience negotiating and drafting operating and shareholders agreements and other commercial contracts, including supply agreements, manufacturing agreements, licensing agreements, services agreements, joint venture agreements and consulting agreements.
Ms. Schmidt is a member of the Seyfarth Women’s Network and Pro Bono Committee. She regularly volunteers to counsel pro bono clients in a variety of matters including partnering with the National Immigrant Justice Center, the Center for Disability & Elder Law, and Cabrini Green Legal Aid.
